Whitehall Golf Club Rules & Constitution

1. Name

The club shall be called: Whitehall Golf Club: and its headquarters shall be at its Club house    The Pavilion Nelson Treharris mid Glamorgan CF46 6ST

2. Objectives

The main purposes of the club is to provide facilities for and to promote participation in the amateur sport of GOLF in the surrounding area .The objects of the club shall be to play, promote and encourage the amateur game of Golf in the Surrounding area according to the rules as laid down by the rules and regulations of the R&A golf club of St Andrews Except in so far as they are modified by Bye-Laws of the club shall be played and the provision of such sound amenities for its members as are approved by the Management Committee.

Amateur status  The management committee warrant, represent and undertake on behalf of the club that we will ensure that the club will not pay or permit Members to be paid (either directly or indirectly (such as via a sponsor or a third party connected to the club) for playing for the club.

3. Officers

The Officers of the Club shall be a captain, vice-captain, honorary secretary and Honorary Treasurer, all of whom shall be elected at the annual general meeting (AGM). They shall be eligible for re-election from year to year. “During their period of office the property of the Club shall be vest in them. They shall deal with the property of the Club shall be vested in them. They shall deal with the property of the Club as directed by a resolution of the management Committee (of which an entry in the minutes shall be conclusive evidence) and they shall be indemnified against risk and expense out of the Club property. If by reason of any such death, resignation or removal it shall appear necessary to the Committee that a new officer shall be appointed, or if the Committee shall deem it expedient to appoint an additional officer or officers, the Committee shall be resolution nominate the person or persons to be appointed as the new officer or officers.

4. Committee

The management of the Club shall be entrusted to a Committee (in these rules referred to as “the Committee”) consisting of the Officers and Eleven (11) other members of the Club, all of whom shall be elected at the AGM with the exception of the retiring captain who shall remain ex-officio a member of the Committee for one year and thereafter shall be eligible by election. Other Committee members shall be elected to serve for two years, five members being elected each year so that there is an overlap. Committee member shall old office for their election until the AGM to which they are entitled by election (unless removed from office in the meantime by a resolution of a Special General meeting of the Club) provided that any member of the Committee may at any time retire there from by giving the honorary Secretary notice in writing f this wish to do so. The Committee may be a resolution remove any member of the Committee from office who absents himself from four consecutive meetings of the Committee, unless the Committee consider that he had a good cause for such absence.

5. Casual Vacancies

The Committee shall be empowered to elect a member of the Club to fill any casual vacancy occurring by death, resignation or removal from office, or by reason of any member of the Committee ceasing during his term of office to be a member of the Club. The member to be elected shall be the unsuccessful candidate at the previous election of the Committee who had obtained most votes. The Committee shall also be empowered to elect any member of the Committee to fill any casual vacancy occurring as aforesaid in the office Captain, Vice-Captain, Honorary Secretary or Honorary Treasurer. Any Person appointed to a casual vacancy shall retire at the next AGM. 

6. Election to Committee

Every Candidate for membership of the Committee (other than a retiring member who offers himself for re-election) shall be proposed and seconded by two members of the Club. Such proposal shall be sent Honorary Secretary in writing not less than 14 days before the AGM and the name of every such candidate with the names of his Proposer and Seconder shall be posted in the Club no less than 7 days before the AGM.

7. Powers of Committee

The Committee shall have power:

(a) Generally to manage the affairs of the Club in accordance with the rules and bye-laws.

(b)  From time to time to make, alter and revoke bye-laws for the internal management of the Club (not being inconsistent with these rules) and all such bye-law, till revoked, shall be binding on all members of the Club as if they were contained in these rules.

(c)  To appoint from their own number and from members of the Club, Sub-Committee s, for special purposed and to delegate to them any of the powers of the Committee except those of electing and expelling member and making, altering or revoking bye-laws. Such Sub-Committee s shall conduct their business and report their proceedings as directed by the Committee. Notwithstanding anything contained in this Sub-Rule, no person not being a member of the Committee may be appointed a member of the Sub-Committee having less than four (4) members or being concerned with the purchase for the Club or with the supply by the Club of intoxicating liquor and in this case of and other Sub-Committee not less than two-thirds of the members of such Such-Committee shall be members of the Committee.

(d) To appoint and dismiss such servants as the may seem necessary.

8. Borrowing Powers

If at any time the Club in General Meeting shall pass a resolution authorising the Committee  to borrow money, the Committee shall thereupon be entitled to borrow for the purpose of the Club such amount of money shall be specified in such resolution, either at one time or from time to time and at such form and manner and upon such security as the Committee shall think fit, and thereupon the trustees shall at the discretion of the Committee make all such dispositions of the Club property or any part thereof and enter in to such agreements in relation thereto as the Committee may deem proper for giving security for such loan and interest. All members of the Club, whether voting on such resolution of not, and all persons becoming members of the Clubs after the passing of such resolution shall be deemed to have assented to the same as if they had voted in favour of such resolution.

9. Ladies Committee

For the purpose of managing and organising lady’s members’ competitions, meetings, function and handicaps, the lady members of the Club shall have the power to elect a ladies Committee and to appoint a Ladies Captain, Ladies’ Honorary Secretary and five (5) other lady members to sit on this Committee. The Honorary Secretary of the Club shall be ex-officio a member of the ladies’ Committee. The ladies Committee shall have power to convene meetings of the lady Members of the Club and to make recommendations to the Committee on all matters of special concern to lady Members.

10. Indemnity

Every member of the Committee and every other person who undertakes obligations, whether by way of guarantee or otherwise on behalf and at the request of the Club or he Committee, shall be indemnified out of the assets of the Club against all costs, charges, expenses, losses and liabilities which he may sustain or incur in or about the execution of his office or discharge of his obligations to otherwise in relation thereto.

11. Membership

Membership of the club shall be open to anyone interested in the sport on application, regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs, except as a necessary consequence of the requirements of GOLF. The club may have different classes of membership and subscription on a non-discriminatory and fair basis. The club will keep subscriptions at levels that will not pose a significant obstacle to people participating. Every application for membership (Full & House) of the club shall provide the name and address of the candidate and shall be submitted to the Management Committee for approval. The election of the member shall thereafter be made by that committee and shall be subject to the condition that at least two days lapse between application and atrussion. The committee must be at least six members to vote on a new member being accepted. An appeal against an adverse decision may be made to the members in accordance with rule

The club may refuse membership or expel from the membership on for the good and sufficient cause such as conduct or character likely to bring the club or sport into disrepute. Appeal against such decision may be made to the clubs members and decide by a majority vote.

The first subscription of a member shall be due and payable no later than one month after the date of his being notified by the Honorary Secretary of his election, and of the subscription is not so paid the Committee may declare the election void. The first subscription of a member elected after the 31st July shall be one half of the subscription appropriate to his membership classification. Proposers and Seconders of new members must themselves have been members for at least twelve months.

12.  Subscriptions

The entrance fee shall be such sum as the Committee may from time to time determine. The annual subscriptions for all classes of members shall also be determined from time to time by the Committee. Any alterations to fees must be confirmed by a Special General Meeting or an AGM. Each member’s subscription shall be due and payable on the first day of January and shall be deemed to be a debt due to the Honorary Secretary of the Club for the time being

No member whose subscriptions are in arrears on the 1st April may compete in any Club competition or vote at any meeting. Members whose subscriptions are not paid by 30th April will cease to exercise the Privileges of the membership but will remain liable for all monies due to the Club.

13. Life Members

On the recommendation of the Committee an ordinary member may be elected a life member at any General Meeting of the Club, and shall thereafter be entitled to all the privileges of membership without paying the annual subscription or any special payment for such life membership.

The Committee may recommend that life members be granted upon payment of a fee. (To be called Purchase Life Membership) and that the fee will be determined at a Special or Annual General Meeting. Members who purchase life membership will not be liable for any annual feed but will still be liable for any special levies/payments which are applicable to ordinary members.

14. Resignation or Interruption of playing Membership

14.1 A member may at any time resign from the Club by giving to the Honorary Secretary notice in writing of his wish to do so, but shall continue liable for any annual subscriptions or other money due and unpaid at the date of his resignation.

14.2 If the member having resigned subsequently applies to re-join they will have to pay the full entry fee applicable at the time.

14.3 A member wishing, for any reason to interrupt his/her playing career, but does not wish to resign from the Club many apply for change of membership to Social Membership, On wishing to resume their playing career they may do so on the understanding that they will be placed on the top of any waiting list that may be in operation at the time and that payment of the appropriate plating fee will be required upon joining.

15. Expulsion and Suspension

The Committee may expel or suspend from membership any member will fully disobeying any of these rules or guilt of any conduct rendering him unfit in their opinion to be a member of the Club. Before expelling or suspending him the Committee shall give him notice in writing setting forth the complaint against him so that he may have the opportunity of explaining or defending his conduct, or withdrawing from the Club. If a majority of the members of the Committee present vote for his expulsion or suspension, the member shall be expelled or suspended as the case may be. Any member so expelled or suspended shall have the right to appeal to a Special General Meeting to be summoned at the request of such member within seven days of his expulsion or suspension when a majority of those present shall be required to confirm the expulsion or suspension, If the expulsion or suspension be not confirmed the member shall be reinstated. It shall be within the power of the Committee to exclude such member from the Club until such General Meeting shall be held when a majority of those present shall be required to confirm the expulsion or suspension.

Any member expelled in accordance with e Rule or otherwise ceasing to be a member of the Club shall forfeit all such right to, or claim upon the Club or its property or fund as he otherwise would have by reason of membership.

16. Register of Members

Every member shall from time to time communicate to the Honorary Secretary his address which shall be inserted in the register of members and all notices sent by post to such address shall be deemed to have been duly delivered on the day following the date of posting.

17. Annual General Meeting

The annual General Meeting of the Club shall be held in the month of January for the Following purposes.

(a) To receive a report and statement of accounts for the preceding year.

(b) To elect the Committee for the ensuring year.

(c) To appoint an Auditor

(d) To decide upon any proposal or matter and to transact any other competent business.

Written notices of motion for the AGM must be received by the Honorary Secretary no letter than the first day of January.

18. Notice of Meetings

Notice of all General Meetings and other business to be transitioned there at shall be posted on the Clubs Notice Board, in the case of the AGM not less than seven days and in the case of any other General Meeting not less than four days before the date of holding the same.

19. Special General Meetings

The Committee may at any times, for any purpose, call a Special General Meeting and shall do so forth on the requisition in writing, of any (30) members of one fifth of the total number of members, whichever is less or on the requisition in wiring of a member who has been expelled or suspended by the Committee and desires to appeal to a Special General Meeting, stating the purpose for which the Meeting is required.

20. Procedure at Meeting

At every General Meeting the Captain shall preside, or in his absence the Vice-Captain, or in his absence another member of the Committee appointed by the Committee. The Captain shall ascertain the decision of the Meeting in such manner as he shall deem most convenient, save the election of the Committee at AGM’s shall be by ballot. All members (other than junior members who shall have no right to vote) shall have one vote. In the event of the equality of votes the Captain shall have a second or casting vote.

21. Quorum

A Committee Meetings five (5) members shall form a quorum at General Meeting ten (10) members or one fifth of the total number of members, whichever is less, shall for a quorum.

22. Financial Year

The financial year of the Club shall end on the 30th of September in each year, to which the account of the Club shall be balanced.

23. Audit 

The accounts shall as soon as practicable after the end of the financial year be prepared by an accountant who shall be appointed at each AGM. Two auditors will be appointed, who shall not be members of the Committee, at each AGM. A vacancy occurring in the office of Auditor during the year can be filled by the Committee.

24. Guests

Members shall be entitled to introduce guests to the Club provided that no person whose application for membership has been declined or who has been expelled from the Club shall be introduced as a guest. No guest shall be permitted to purchase intoxicating liquor in the Club.

25. Sales to Non-Members

The Committee may in their discretion admit to the premises of the Club persons who are members of other Golf Clubs and who are visiting the Club connection with any Golf competition of the playing of Golf and the sale to such persons of intoxicating liquor by or on behalf of the Club for consumption on the premises be permissible

26. Permitted hours

Intoxicating liquors shall be served only between such hours permitted by law and as the Committee shall from time to time determine.

27. Damage to, or Loss of Members Property

No members or guest or any person admitted to the Club under rule 25 hereof, shall have any claim against the Club or the Committee or any officer for loss or damage the Clubs, clothing or any other property, it shall be the duty of every member to bring to the attention of any guest introduced by him the provisions of this rule. Members are advised to make individual arrangements for insurance of property left by them on Clubs premises, as they leave it there entirely at their own risk.

28. Club Property

No Member shall take away or permit to be taken away from the Clubhouse under any pretence whatsoever, or shall injure or destroy any newspaper, pamphlet, book or other article which is the property of the Club.

29. Notices

No paper notice or placard written or printed shall be exhibited, put in the Clubhouse, or in any way brought to the notice of members without the sanction of a member of the Committee.

30. Payment of Expenses

Members are required to pay all expenses they incur on their own behalf or for guest in the Clubhouse or on the green before they leave.

31. Rules of Golf

The Rules of the game of Golf as adopted from time to time by the R.&A. Golf Club of St. Andrews, except insofar as that are modified by Bye-Laws of the Club, shall be played.

32. Members Bound by Rules

Every member shall be bound by and submit the Rules and the Bye-Laws of the Club

33. Interpretation of Rules

The Committee shall be the sole authority for the interpretation of these Rules and the Bye-Laws made there under, and the discretion of the Committee upon any Question of the interpretation or upon any matter affecting the Club and not provided for by these Rules or by the Bye-Laws made there under shall be final and binding upon the members.

34. Alteration of Rules

These Rules may be added to, repealed or amended by a resolution at any Annual or Special General Meeting, provided that no such resolution shall be deemed to have been passed unless it be carried by majority of at least two-thirds of the members voting thereon.

35. Dissolution

In the event of the dissolution of the club, any assets remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed amongst the members of the club, but shall be given or transferred to one or more of the following approved sporting or charitable bodies;

1) A registered charitable organization.

2) Another club which is registered CASC.

3) The sport’s national governing body for use by them for related community sports.


a) The object of the club is to provide facilities for and promote participation of the whole community in the sport of Golf.

b) The income and property of the club shall be applied solely towards promoting the clubs objectives as set forth in this constitution and no portion thereof shall be paid or transferred, directly or indirectly, to the members of the club.

c) In the event of the dissolution of the club, any assets remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed amongst the members of the club, but shall be given or transferred to one or more of the following approved sporting or charitable bodies;

1) A registered charitable organization.

2) Another club which is registered CASC.

3) The sport’s national governing body for use by them for related community sports.
